Terms of Service

Welcome to Tandem, an AI-powered financial reporting and accounting management solution provided by AI Labz Inc. ("AI Labz", "Company", "we", "us", or "our").

These Terms of Service ("Terms") govern your access to and use of our website, the Tandem platform, software, application programming interfaces (APIs), and related services (collectively, the "Services").

By creating an account, executing an order form, or otherwise accessing or using the Services, you ("Customer", "you", or "your") agree to be bound by these Terms. If you are accepting these Terms on behalf of a restaurant, corporation, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

1.1 Purpose. Tandem is an artificial intelligence-driven software application designed to assist restaurants and hospitality businesses in automating, analyzing, and streamlining back-office financial reporting, accounting workflows, invoice parsing, and financial insights.

1.2 Subscription & Access. Subject to your compliance with these Terms and timely payment of applicable fees, AI Labz grants you a non-exclusive, non-transferable, non-sublicensable, worldwide right to access and use Tandem during the applicable subscription term solely for your internal business operations.

1.3 Accounts & Credentials. You are responsible for maintaining the confidentiality of all user credentials associated with your account. You accept responsibility for all activities that occur under your account. You agree to notify AI Labz immediately of any unauthorized access or use of your account.

2.1 Ownership of Customer Data. You retain all rights, title, and interest in and to all financial data, general ledger inputs, point-of-sale exports, vendor invoices, receipts, and other information uploaded, submitted, or ingested into Tandem by you or on your behalf ("Customer Data").

2.2 License to Host and Process. You grant AI Labz a non-exclusive, royalty-free, worldwide license to host, run, copy, process, and display Customer Data solely as necessary to provide, maintain, support, and secure the Services for you.

2.3 Anonymized and Aggregated Data. AI Labz may collect, extract, and generate aggregated, anonymized, or de-identified data derived from Customer Data and usage metrics. You agree that AI Labz owns such aggregated and anonymized data and may use it for internal research, platform security, benchmarking, statistical analysis, and improving our artificial intelligence and machine learning models, provided that such data cannot reasonably be used to identify you, your restaurant, or any individual.

2.4 Accuracy of Financial Data & AI Output. You acknowledge that Tandem utilizes automated systems and artificial intelligence to assist with financial data ingestion, categorization, and reporting. While AI Labz strives for high accuracy, AI outputs may contain errors. You are solely responsible for reviewing, verifying, and confirming all financial reports, tax outputs, general ledger entries, and accounting records generated by or through Tandem prior to making financial decisions or filing official tax documents. Tandem is a management reporting tool and does not constitute certified public accounting (CPA) or tax preparation services.

You agree not to:

• License, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit Tandem to any third party.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of Tandem.
• Use Tandem to store or transmit infringing, defamatory, unlawful, or tortious material, or material in violation of third-party privacy rights.
• Interfere with or disrupt the integrity, performance, or security of the Services or the underlying systems.
• Attempt to gain unauthorized access to Tandem or its related systems or networks.

4.1 Fees. You agree to pay all subscription fees specified in your ordering agreement or online checkout portal. Unless otherwise specified, all fees are quoted in U.S. Dollars and are non-refundable.

4.2 Billing. Invoices are due and payable in accordance with the payment terms set forth in your service order. Overdue balances may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

4.3 Taxes. Fees do not include any local, state, federal, or foreign taxes, levies, or duties. You are responsible for paying all applicable taxes associated with your subscription, excluding taxes based on AI Labz's net income.

AI Labz retains all right, title, and interest in and to Tandem, including all software, source code, user interfaces, system architectures, machine learning models, patents, trademarks, and trade secrets, as well as any feedback, suggestions, or enhancement requests provided by you. No rights are granted to you hereunder other than as expressly set forth in these Terms.

Each party ("Receiving Party") agrees that all code, inventions, business, technical, and financial information disclosed to it by the other party ("Disclosing Party") under these Terms constitutes confidential information ("Confidential Information"). The Receiving Party will hold in confidence and not use or disclose any Confidential Information except as necessary to perform its obligations or exercise its rights under these Terms.

7.1 Limited Warranty. AI Labz warrants that Tandem will operate substantially in accordance with the technical documentation provided on our website under normal use.

7.2 Disclaimer. Except as expressly provided herein, Tandem and all Services are provided "as is" and "as available." AI Labz disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Tandem will be uninterrupted, error-free, or absolutely accurate in all financial calculations.

8.1 Exclusion of Damages. To the maximum extent permitted by applicable law, in no event shall AI Labz be liable for any indirect, consequential, incidental, special, punitive, or cover damages, including loss of profits, revenue, goodwill, or financial data loss, arising out of or in connection with your use of Tandem.

8.2 Cap on Liability. In no event shall AI Labz's aggregate liability arising out of or related to these Terms exceed the total amount paid by you to AI Labz for Tandem in the twelve (12) months preceding the event giving rise to liability.

9.1 Term. These Terms remain in effect for as long as you maintain an active account or subscription to Tandem.

9.2 Termination for Cause. Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice.

9.3 Effect of Termination. Upon termination, your right to access Tandem will cease immediately. AI Labz will make your Customer Data available for download for a period of thirty (30) days following termination, after which it may be deleted in accordance with our standard data retention routines.

• Governing Law: These Terms are governed by the laws of the state in which AI Labz is incorporated, without regard to conflict of law principles.
• Modifications: AI Labz reserves the right to modify these Terms from time to time. We will provide notice of material updates via email or through the Tandem interface.
